Bally's-Intralot deal completes

First definitively announced in July 2025, the €2.7bn ($3.12bn) acquisition of Bally’s tech division has now completed, finalising the effective merger.

Key points:

- €1.53bn ($1.77bn) in cash plus €1.14bn worth of newly issued Intralot shares have been transferred to Bally’s Corp

- Result is that Bally’s Corporation has now become the majority shareholder of Intralot with 58% equity interest

- Successful €429m issue of new ordinary shares in Intralot was announced on 8 October

A deal between Intralot and Bally’s was struck in July 2025 for Intralot to acquire Bally’s International Interactive business – that deal has now completed.

The transaction, a combination of cash and shares in Intralot valued Bally’s tech division at €2.7bn.

The transfer of new shares had the consequence of Bally’s Corp becoming the majority shareholder of Intralot, giving the company an even more active role shaping future strategic decisions.

Robeson Reeves, Bally’s CEO, will be central to this merger and will continue to lead both Bally’s Corp and the newly formed Bally’s Intralot.

Reeves had this to say on the finalisation of the deal: “Our shareholders now have visibility into the value of our interactive division as part of a larger, globally scaled operator. Intralot’s lottery expertise and reach, combined with Bally’s International Interactive’s proven digital capabilities, creates a powerful foundation for expansion over the long term.”

Good to know: Allwyn’s recent acquisition of PrizePicks mirrored this deal in the combining of a major European lottery operator with a US giant from elsewhere in the gambling industry

Bally’s has announced in view of its effective merger with Intralot that it will be allocating at least $1.0bn of the proceeds from the cash transaction to reducing secured debt.

It also has announced plans to inject $200m worth of cash into the development of its Chicago casino
